  • Coercion constitutes an offer that is 'irresistible' to a reasonable man, who has no other choice but to contract with the other party on their particular terms.

Coercion does not override or destroy a person's will, it merely diverts it onto agreeing to contract with the other party.

In the case of Pao, the court held that the inquiry into determining whether coercion was present in the case consists of three questions:

1) Did the victim protest or take any steps to void the contract?

2) Was there a practical alternative option available to the victim?

3) Did the victim receive independent advice?
