General Power of Attorney
A written authorization granting the agent broad authority to manage the principal’s affairs. It typically covers acts of administration such as overseeing business transactions, handling finances, and managing properties. It does not extend to acts of ownership or disposition, such as selling or encumbering assets, unless expressly stated.

Principal = person granting authority.
Agent (attorney-in-fact) = person receiving authority.
Scope = broad, covering financial and legal decisions, unless restricted.
Duration = ends if revoked, limited by law, or if the principal becomes incapacitated (unless it is made “durable”).

GENERAL POWER OF ATTORNEY
KNOW ALL MEN BY THESE PRESENTS:
I, JUAN DELA CRUZ, of legal age, married, Filipino, and a resident of 123 Mabini Street, Barangay San Miguel, Quezon City, Philippines, hereinafter referred to as the Principal, do hereby appoint, name, and constitute PEDRO S. GARCIA, of legal age, single, Filipino, and a resident of 45 Lopez Jaena Street, Barangay Capitol Site, Cebu City, Philippines, as my true and lawful Attorney-in-Fact, hereinafter referred to as the Agent, to act for and in my name, place, and stead, and for my benefit, to do and perform the following acts and deeds:

1. To manage, administer, and oversee all my business, financial, and personal affairs, including but not limited to banking transactions, collection and payment of debts and execution of contracts necessary for the administration of my properties and affairs.
2. To manage and maintain any and all of my properties, both real and personal, including payment of utilities, taxes, fees, and other obligations.

3. To represent me before government agencies, private institutions, and other persons or entities for matters concerning my rights, obligations, and interests.
4. To perform all other acts of administration necessary or incidental to the proper management of my affairs.
PROVIDED, HOWEVER, that this authority does not include the power to sell, mortgage, transfer, or otherwise dispose of any of my properties, whether real or personal, unless such authority is expressly granted in a separate written instrument.

This General Power of Attorney shall remain valid and effective until revoked by me in writing.

Special Power of Attorney
A Special Power of Attorney (SPA) is a written legal authorization in which the principal grants the agent (attorney-in-fact) the authority to perform a specific act or set of acts on the principal’s behalf.

Scope: Unlike a General Power of Attorney, which covers broad administrative powers, an SPA is limited to particular matters clearly stated in the document.

Examples: Selling a piece of property, collecting a debt, representing the principal in a lawsuit, or signing a contract for a defined purpose.

Legal Effect: The agent’s authority exists only for the acts expressly granted and ends once those acts are completed, revoked, or upon expiration (if a period is set)

General Power of Attorney = broad, covers many administrative tasks.
Special Power of Attorney = narrow, limited to the exact authority granted.

SPECIAL POWER OF ATTORNEY
KNOW ALL MEN BY THESE PRESENTS:
I, JUAN DELA CRUZ, of legal age, married, Filipino, and a resident of 123 Mabini Street, Barangay San Miguel, Quezon City, Philippines, hereinafter referred to as the Principal, do hereby APPOINT, NAME, AND CONSTITUTE PEDRO S. GARCIA, of legal age, single, Filipino, and a resident of 45 Lopez Jaena Street, Barangay Capitol Site, Cebu City, Philippines, as my true and lawful Attorney-in-Fact, for me and in my name, place, and stead, to do and perform the following specific act:

1. To SELL, transfer, and convey for such price and under such terms and conditions as my Attorney-in-Fact shall deem reasonable, my parcel of land located at Lot 123, Block 45, Barangay Lahug, Cebu City, covered by Transfer Certificate of Title (TCT) No. 123456, together with all the improvements thereon.
2. To sign, execute, and deliver the corresponding Deed of Absolute Sale and such other documents necessary to effect the sale, and to appear before the Registry of Deeds, Bureau of Internal Revenue, local government offices, and any other agency or entity as may be required for the registration and transfer of title.

3. To receive the purchase price, issue the necessary receipt for and in my behalf, and deposit the proceeds to my designated bank account.
I grant my attorney-in-fact full authority to carry out this SPA as if I were personally present.
This authority is limited only to the above transaction and shall remain valid until revoked by me in writing.

1. To enter into an amicable settlement or compromise agreement, whether total or partial, under terms and conditions that my Attorney-in-Fact may deem proper;
2. To agree upon, make, and enter into stipulations of fact and admissions of documentary exhibits;
3. To mark documentary and object evidence, and to manifest whether I will avail of discovery procedures;

4. To consider and agree upon the simplification of issues, the possibility of obtaining stipulations or admissions of facts and of documents to avoid unnecessary proof, and such other matters as may aid in the prompt disposition of the action;
5. To bind me in all matters discussed, agreed upon, and ordered by the court during pre-trial, including the entry into a pre-trial order.
This Special Power of Attorney is limited to the purposes herein stated and shall remain valid until the completion of the pre-trial proceedings in the above-captioned case, unless sooner revoked in writing.
